General Terms and Conditions of Contracting

These General Terms and Conditions of Contracting govern the commercial relationship between Grovegear Consulting S.L., owner of the vetera.pro platform (hereinafter, "Vetera") and the companies or professionals who contract the unlocking of contact details of senior professionals registered on the platform (hereinafter, the "Client").

For the purposes of these Terms, "Client" shall mean the natural or legal person who makes the payment to unlock the contact details of a senior professional. Senior professionals who create an expert profile on Vetera shall not be considered purchasing Clients merely by registering or creating their profile, unless they expressly contract a paid service.

By carrying out a transaction on vetera.pro or on the associated platform, the Client expressly, fully and unreservedly accepts these Terms in their entirety.

1. Purpose of the Service

Vetera's model consists of giving visibility to senior talent and helping companies with specific challenges identify professionals with relevant experience and documented achievements.

The service provided to the Client consists of the unlocking of and access to direct contact details — email address, telephone number, LinkedIn profile or other authorised details — of senior professionals registered on the platform, in exchange for payment of a pre-established fee.

Before unlocking, the Client may review anonymised information from the senior professional's profile, including their functional specialty, indicative availability, collaboration modality and PAR cases — Problem, Action and Result — related to the challenge described.

The same anonymised information may be shown to the Client through plugins for third-party AI assistants, such as the Vetera Experts plugin for ChatGPT. Those plugins only allow a challenge to be described and anonymised profiles to be viewed and compared; the unlocking of contact details, and any payment, takes place exclusively on vetera.pro, under these Terms.

The payment made by the Client corresponds exclusively to access to the unlocked contact details and does not constitute payment for hiring, a guaranteed interview, success of the process, exclusivity or any subsequent professional service.

2. Nature of the Service and Limitation of Liability

Vetera acts as a technological connection platform between companies and senior professionals. Vetera does not act as a traditional recruitment agency, headhunter, employer, labour representative, commercial agent or party to any agreements that may subsequently be reached between the Client and the senior professional.

The Client expressly understands and accepts that:

  • The profiles shown in each search are selected and ordered with the help of artificial intelligence, as described in the Privacy Policy, and are an indicative proposal that does not replace the Client's own judgement.
  • Vetera does not guarantee the hiring, collaboration, response, availability or acceptance of the unlocked senior professional.
  • Vetera does not guarantee that the contact will result in an interview, call, meeting, provision of services, employment contract, commercial contract or any other agreement.
  • The payment made guarantees only access to the authorised contact details of the selected senior professional.
  • The terms of any possible subsequent collaboration — scope, duration, modality, remuneration, responsibilities, availability or contractual form — shall be negotiated and agreed directly between the Client and the senior professional.
  • Vetera does not intervene in any subsequent negotiation and does not charge any commission, percentage or success fee on any agreements that may be reached between the parties.

Although Vetera applies quality, structure and review criteria to profiles, the information relating to experience, professional background, skills, achievements or availability is declared by the senior professional themselves. Vetera assumes no legal liability for possible inaccuracies, omissions or subsequent changes in such information, without prejudice to any reasonable measures it may adopt to maintain the quality of the platform.

The lack of response from the senior professional, their refusal to hold a conversation, lack of availability, lack of agreement between the parties or failure to formalise a hiring or collaboration shall not, by itself, give rise to any right to a refund of the amount paid.

3. Purchase Process and Prices

The prices applicable to the unlocking of each profile or to the purchase of contact packages shall be duly published on the website or platform before completion of the purchase.

Unless expressly stated otherwise, the price for unlocking a profile shall be EUR 55 + VAT.

Payment shall be made through a secure payment gateway — credit/debit card or other payment methods enabled on the platform. Vetera does not store the Client's banking details.

Once payment has been confirmed, the Client will receive the corresponding receipt and may request or download the relevant invoice using the tax information provided during registration.

4. Refund and Withdrawal Policy

Given that this contractual relationship is exclusively commercial and B2B in nature — between professionals and/or companies — and that the service consists of the supply of digital content with immediate access to contact details in non-material form, the Client accepts that there shall be no ordinary right of withdrawal or refund once the purchase has been executed.

Exceptions: A refund of the amount paid or the delivery of equivalent credit on the platform shall only be granted if it is reliably proven that the unlocked contact details are false, incorrect or non-existent, preventing any reasonable initial attempt at contact. By way of example, an email address that permanently bounces or a non-existent telephone number may be considered incorrect contact data, provided that the Client notifies Vetera within a reasonable period from the unlocking.

No refund shall be granted due to lack of response from the senior professional, rejection of a proposal, lack of availability, lack of economic agreement or failure to formalise a collaboration, hiring or provision of services.

5. Client Obligations and Good Practices

The Client undertakes to use the unlocked contact details with absolute confidentiality and in accordance with applicable data protection regulations. The acquired data shall be for the Client's internal and exclusive use, for the purpose of initiating a genuine professional conversation with the unlocked senior professional.

The following are expressly prohibited:

  • Resale, assignment, publication or distribution of the data to third parties.
  • Use of the data to create parallel databases.
  • Sending unsolicited commercial communications.
  • Use of the data for purposes unrelated to the professional opportunity or conversation that justified the unlocking.

Breach of this clause may entitle Vetera to block or cancel the Client's account, without any right to refund, and the Client shall be liable to indemnify Vetera for any sanction imposed by the Spanish Data Protection Agency (AEPD) arising from misuse of the data provided.

6. Origin and Legal Basis of Professional Data

Vetera guarantees to the Client that it has obtained the express authorisations and consents of the registered senior professionals, in accordance with the GDPR and the LOPDGDD, to display their anonymised profiles and to reveal their direct contact details exclusively after the corresponding economic transaction.

7. Subsequent Relationship Between the Client and the Senior Professional

Once the contact has been unlocked, any subsequent relationship between the Client and the senior professional shall take place directly between those two parties. Vetera shall not be a party to such relationship, nor shall it intervene in the negotiation, formalisation, performance, monitoring or termination of any agreements that may be reached.

Any subsequent collaboration — mentoring, consulting, project work, interim management, employment hiring, provision of services or any other modality — must be agreed directly between the Client and the senior professional.

Vetera assumes no responsibility for:

  • The actual availability of the senior professional.
  • The senior professional's decision to accept or reject a proposal.
  • The quality, performance or result of any eventual collaboration.
  • The economic or contractual agreements reached between the parties.
  • Any tax, labour, commercial or administrative obligations arising from such agreements.

8. Modification of the Terms

Vetera reserves the right to modify these Terms at any time. Any modifications shall not have retroactive effect and shall apply only to contracts entered into after their publication on the website or platform.

9. Applicable Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with Spanish law. For any dispute that may arise from the contracting of the service, the parties submit to the Courts and Tribunals of the city of Madrid, Spain, unless applicable law establishes another mandatory jurisdiction.
